Upcoming version. Applies to new members from Nov 5, 2026 and to all existing members from Nov 12, 2026. Until then, the current Terms of Use remain in effect.

TERMS AND CONDITIONS OF USE

Last updated: November 5, 2026

Effective date: These Terms apply now to accounts created on or after November 5, 2026, and are accepted at checkout. For members who joined before November 5, 2026, they take effect on November 12, 2026. Until then, the terms that already apply to you continue to apply. This update replaces the update we announced on October 9, 2026, so for members who joined before October 8, 2026, that October version will not separately take effect.

Operator: UTelX is operated by Allen Bracken Cherry, an individual doing business as “UTelX” and “U Tel X” (“UTelX,” “we,” “us,” “our”), 1701 E Arroyo Seco, Cottonwood, Arizona 86326, USA.

PRICING SUMMARY

- Founders Special: Founder Monthly costs $11.00 per month. Founder Yearly costs $99.00 per year. Both plans include the same features and the same monthly allowance. There is no limit on the number of members who can join during the Founders Special.
- Free 7-day trial: Both plans start with a free 7-day trial. You must give a payment card to start it. If you do not cancel before the trial ends, your card is charged on day 8 ($11.00 for Founder Monthly or $99.00 for Founder Yearly), and your plan then renews automatically every month or every year until you cancel. See Section 4.2.
- Cancel online at any time: You can cancel online in your account at any time, including during the trial. If you cancel during the trial, you are not charged. See Sections 4.2 and 4.5.
- Your rate: If you join during the Founders Special, your plan’s price stays the same while your membership stays active and in good standing. When the Founders Special ends, prices may go up for new members. We will give the public at least 14 days’ notice before it ends. See Section 4.3.
- Charter Founders: Members who paid $11.00 per year before these Terms took effect keep $11.00 per year. Charter Founder pricing is closed to new members. See Section 4.4.
- Usage allowance and credits: Every paid membership includes a monthly usage allowance. When you reach a limit, that feature pauses. We never charge you automatically for usage. Optional credit packs ($5, $10, and $25) are sold only on https://www.utelx.online, through Stripe, and not during the trial. See Section 4.6.
- All sales are final, except as stated in Section 5 or required by law.

ABOUT THESE TERMS

Sites. https://www.utelx.online (main) and https://www.utelx.net, plus related pages, checkout, apps, and services (together, the “Service”). By creating an account, checking the box to accept these Terms, buying a membership, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. The current Terms are posted at https://www.utelx.online/terms.

The Service includes those Sites and any related websites, membership areas, Watch, Messages, Public Square, the Forum, Grok Bot, One Brain, email notifications, applications, buttons, widgets, published APIs, and other UTelX features that link to these Terms. “Content” means information, text, links, graphics, photos, audio, videos, messages, files, or other materials uploaded, downloaded, generated, or appearing on the Service, including Content from you, other members, us, or third parties. These Terms also apply if you use the Service on someone else’s device or account that you are allowed to use.

1. WHAT UTELX IS

UTelX is a membership Service that combines video (“Watch”), messaging (“Messages”), and a public feed (“Public Square”), with an optional AI assistant called “Grok Bot.” The Service also includes discussion areas (“Forum”), where posts may be visible to other members or to anyone on the internet depending on the settings then in force, plus profiles, lists, search, notifications, import tools, and other member tools. Some features may have extra posted rules. If you use those features, those rules apply too. If they conflict with these Terms, the extra rules control only for that feature. Section 5 still applies.

Beta Service. The Service, including Watch, Messages, Public Square, the Forum, the import tools, and our AI features, is live but is still in beta. We are actively testing, fixing, and improving it. You may encounter bugs, interruptions, changed or removed features, and occasional data loss. Beta features may change in design, performance, and availability without notice. Your membership gives you access to the Service as it exists from time to time. It is not a guarantee that any specific feature will remain available or will be added.

No affiliation. UTelX is not affiliated with, endorsed by, or part of YouTube, TikTok, Telegram, X Corp., xAI, or Google, or their owners. Names of those products are used only to describe the kinds of features we offer or the services we connect to.

Watch. Watch videos may be transcoded, stored, and streamed by us or our vendors so they can play on different devices. Playback of uploaded video on the Service is for the public and signed-in members (see Section 4.6(j)).

Messages. Messages are delivered to the people in the conversation. Messages are not end-to-end encrypted, which means they are stored on our systems and our vendors’ systems in a form we are technically able to access. We do not read Messages as a matter of routine. We may access them only when needed to investigate a report or detect abuse, to enforce these Terms, to maintain the security of the Service, or when we believe in good faith that the law requires it, as described in the Privacy Policy (https://www.utelx.online/privacy). Do not use Messages to send information that you would not be comfortable having stored on a third-party service.

Messages in One Brain. If you opt in to include Messages in One Brain, only the messages you wrote yourself are processed by Grok Bot and sent to our AI provider to provide the feature. Messages written by other people are not included in your One Brain. Do not turn this on if you have promised to keep your own messages confidential.

Public Square. Posts in Public Square are public by default. Anyone, including people who are not UTelX members and people using search engines or other services, may be able to view, copy, share, and archive what you post there. Where a setting lets you limit who can see a post, we will respect it on the Service, but we cannot control copies made by others before you change or delete a post. Forum posts and public profiles may also be visible to other members or to anyone on the internet, depending on the settings then in force. We may rank, recommend, limit, or hide posts to operate the feed.

Grok Bot. “Grok Bot” is our optional AI assistant. It is powered by artificial intelligence models provided by xAI (SpaceXAI LLC) (“xAI”). Prompts and files you submit to Grok Bot are sent to xAI so a response can be generated, and xAI’s handling of that data is governed by our agreement with xAI and described in our Privacy Policy. AI responses are generated automatically, may be inaccurate, incomplete, or biased, and are not legal, medical, financial, or other professional advice. You agree not to use Grok Bot in violation of xAI’s applicable usage policies, which we may pass on to you. Where the Service uses the phrase “Super Intelligence,” it describes our aim, not a guarantee of accuracy or capability.

One Brain. One Brain is an optional feature of Grok Bot that keeps a private memory for you across the Feed, Watch, Messages, and content you import. It is off until you turn it on. When it is on, it can catch you up on what you missed, answer questions about content you have saved or seen, and suggest next steps. Your private Messages are included only if you separately opt in, and then only the messages you wrote yourself. One Brain never posts, comments, or sends anything for you unless you press the button to do so. You can see what One Brain has stored about you and delete it at any time in Settings. To produce results, the content in One Brain is processed by our AI provider, xAI, as described in the Privacy Policy. One Brain activity uses your monthly allowance or credits under Section 4.6.

None of the above is a guarantee of quality, delivery, or that a message or video will stay available.

2. ELIGIBILITY

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Service. When you create an account, you confirm that you meet this requirement. The Service is not directed to children, and we do not knowingly allow anyone under 18 to use it. If we learn that an account belongs to someone under 18, we may suspend or close it and delete the associated information, and no refund will be due except where the law requires one. If you believe a minor is using the Service, contact us at [email protected].

You are responsible for the accuracy of the information you give us and for all activity on your account. One person may hold one founding account unless we agree otherwise in writing.

You may not use the Service if the laws of the United States or any other applicable jurisdiction bar you from receiving it, including the export and sanctions rules in Section 19. If you accept these Terms on behalf of a company, organization, government, or other legal entity, you confirm that you are authorized to bind it, and “you” includes that entity. You may not accept these Terms to authorize a minor to use the Service. We may refuse, limit, or condition registration or access.

3. ACCOUNTS

You sign in with an emailed sign-in link or with GitHub. We do not use passwords. You must keep access to your sign-in email and GitHub account secure and must not share sign-in links. Notify us at [email protected] if you think your account is compromised. We may suspend or close accounts that are shared, resold, abusive, unpaid, or that violate these Terms. We may require verification (email, payment, or identity checks) to reduce fraud.

You are responsible for protecting the email account and, if you use it, the GitHub account you sign in with, and the devices you use to sign in. If you think your account was accessed without permission, secure your email or GitHub account and email [email protected]. To the extent the law allows, we are not liable for loss or damage from your failure to protect your account. If you change or drop a phone number or email address on your account, update it so we do not contact someone who gets the old number or inbox.

Service messages. We may send service announcements and administrative messages, such as security alerts, billing notices, usage alerts, and changes to these Terms. Those are part of the Service, and you may not be able to opt out of them. Marketing email is covered by the Privacy Policy (https://www.utelx.online/privacy), and each marketing email includes an unsubscribe link.

Text messages. We do not currently send text messages. If we begin to, we will send them only after you opt in, and separate SMS terms will describe the program, including message frequency, that message and data rates may apply, and how to stop messages by replying STOP.

4. MEMBERSHIPS, FREE TRIAL, AND PRICES

4.1 Founder Monthly and Founder Yearly

During the Founders Special, we offer two paid plans:

- Founder Monthly: $11.00 per month, billed monthly in advance.
- Founder Yearly: $99.00 per year, billed yearly in advance.

Both plans include access to member features then available and the same monthly usage allowance described in Section 4.6, subject to fair use (Section 8). Use beyond the allowance is available only through optional credits you choose to buy (Section 4.6). There is no limit on the number of members who can join during the Founders Special. Sign-up, free trials, membership payments, renewals, and membership cancellations are handled through Kajabi (Section 4.5). Prices are in U.S. dollars unless checkout shows another currency. Taxes may be added where required.

4.2 Free 7-Day Trial

(a) One trial per person. Each person may use one free trial. If we detect a repeat trial after checkout (for example, a trial started with an email address that has already had one), we may cancel or refuse that trial and end its trial access, and we may offer you a paid plan without a trial instead.

(b) Card required. You must give a payment card to start the trial. We do not charge it during the trial. When you start the trial, our payment provider may place a temporary authorization on your card to check that it is valid.

(c) What the trial includes. A trial includes posting, likes, follows, messages, and Share Post, with daily limits of 10 posts and 20 messages, and the following amounts in total for the 7 days: 5 Grok Bot chats, 1 One Brain briefing or search, a video library of 10 minutes, 50 minutes of video watched, and 2 X post imports. When you reach a trial limit, that feature pauses until your paid plan starts. Credit packs cannot be bought during the trial.

(d) When the trial ends and the first charge happens. Your trial lasts 7 days from sign-up, as counted by our checkout provider, Kajabi. Before you check out, checkout tells you that your first charge happens at the end of the 7-day trial (on day 8), the price, and how to cancel. Unless you cancel before the trial ends, we charge the price of the plan you chose on day 8 ($11.00 for Founder Monthly or $99.00 for Founder Yearly), and your paid plan begins. Your plan then renews automatically, as described in Section 4.5.

(e) Reminder. We may email you a reminder before your trial ends. We do not promise a specific timing for that reminder, so please rely on the information shown at checkout and in your confirmation email: the price, that your first charge happens on day 8, and how to cancel.

(f) Cancelling during the trial. You can cancel at any time before the trial ends, online, as described in Section 4.5(e). If you cancel before the trial ends, you will never be charged, and your trial access continues to the end of day 7. Content you posted during the trial stays up for 30 days after your trial ends. After that, we delete it unless you join a paid plan.

4.3 Founders Special; Your Rate

The prices in Section 4.1 are a Founders Special. We may end the Founders Special, but we will give the public at least 14 days’ notice on the Sites before it ends. After it ends, new members may pay a higher price.

If you join during the Founders Special, the price of your plan stays the same while your membership stays active and in good standing. This rate lock applies only to your membership price. It is not a one-time payment, a free plan, equity or ownership in UTelX, an investment, or a promise that any feature will be added by a particular date. The lock is personal to you and cannot be transferred or sold. It ends if you cancel, if your membership lapses (after any grace period in Section 4.5(g)), or if we close your account for violating these Terms. “Active and in good standing” means your membership is paid and renewed, within the grace period in Section 4.5(g), and your account has not been closed for violating these Terms.

No switching between plans. You cannot switch between Founder Monthly and Founder Yearly. To change plans, cancel your current plan and join the other plan at the then-current price. Your current plan stays active until the end of the period you have already paid for.

If a price change ever applies to a plan you are on (for example, after you rejoin when the Founders Special has ended), we will email you at least 30 days before the new price takes effect at your next renewal, and you may cancel before it applies.

4.4 Charter Founders

Charter Founder pricing is closed. “Charter Founders” are only the members who paid $11.00 per year for a Founder membership before the publish date of these Terms, November 5, 2026. We do not offer any new Charter Founder memberships. As promised in our earlier Terms, Charter Founders keep $11.00 per year while their membership stays active and in good standing, under the same rate-lock rules as Section 4.3. Charter Founders receive the same features and the same monthly allowance as Founder Monthly and Founder Yearly, and a Charter Founder badge. A Charter Founder membership renews automatically each year at $11.00 until cancelled, as described in Section 4.5. If a Charter Founder cancels or lets the membership lapse, the Charter rate ends, and rejoining is at the then-current price.

4.5 Automatic Renewal, Billing, and Cancellation

(a) Automatic renewal. Founder Monthly renews automatically every month, Founder Yearly renews automatically every year, and a Charter Founder membership renews automatically every year, each at the price shown at checkout (or your locked rate under Section 4.3 or 4.4), until you cancel. You will be charged at the start of each new period unless you cancel before it begins.

(b) What we show you before you pay. Checkout clearly shows, next to the agreement checkbox and before you pay, the plan, the price, how often you will be charged, that your first charge happens at the end of the 7-day trial (on day 8), that the plan renews automatically until you cancel, and how to cancel.

(c) Your consent. To start a trial or plan, you must check the required agreement checkbox at checkout. The automatic-renewal terms appear in clear, conspicuous text right next to that checkbox, and checking it means you agree to them as well as to these Terms. For Founder Monthly, the text reads: “AUTOMATIC RENEWAL: Free for 7 days, then $11.00 per month. Your card will be charged $11.00 automatically at the end of your 7-day free trial (on day 8) and every month after that until you cancel. Cancel anytime online at www.utelx.net: sign in, open Settings, then Billing, and choose Cancel subscription. If you cancel before your trial ends, you will not be charged. After a charge, all sales are final. By checking the box, you agree to these automatic renewal terms and the Terms of Use (https://www.utelx.online/terms), confirm that you have read the Privacy Policy (https://www.utelx.online/privacy), and confirm that you are 18 or older.” For Founder Yearly, the text is the same except that it says $99.00 per year and “every year.” By checking the box, you authorize us and our payment processors to charge your payment method on day 8 and at the start of each renewal period, at the price shown at checkout, until you cancel. We keep a record of your agreement.

(d) Confirmation email. After you sign up, we email you a confirmation that repeats the plan, the price, how often you will be charged, that your first charge happens at the end of the 7-day trial (on day 8), that the plan renews automatically, and how to cancel.

(e) How to cancel. You can cancel online at any time, including during the trial, at https://www.utelx.net: sign in, open your profile menu, choose Settings, then Billing, and choose Cancel subscription. Cancelling online does not require calling or talking to anyone. You may also cancel by emailing [email protected]. After you cancel, we will confirm the cancellation by email. Cancellation stops future charges. You keep access until the end of the trial or the period you have already paid for.

(f) Yearly renewal reminder. For Founder Yearly and Charter Founder memberships, we will email you a reminder at least 15 days and not more than 30 days before each yearly renewal charge, showing the renewal date, the amount, and how to cancel. We do not send a renewal reminder before monthly charges.

(g) Failed payments; grace period. If a renewal payment fails, we will notify you by email. You then have 7 days (Founder Monthly) or 30 days (Founder Yearly and Charter Founder) from the renewal date to update your payment method and complete the payment. If you do, your membership and your rate continue without interruption. If you do not, your membership lapses and your rate ends. If you rejoin after a lapse, you will pay the then-current price, which may be different from your former rate.

(h) Who processes payments. Membership payments (trials, first charges, and renewals) are processed by Kajabi and its payment providers (for example, card networks, Stripe, or Kajabi Payments). Credit packs (Section 4.6) are sold only on https://www.utelx.online, as separate one-time payments processed by Stripe. Their terms also apply. We never charge your card for usage or credits unless you choose to buy a pack.

4.6 Monthly Allowance and Credits

Some features (storing and watching video, Grok Bot chat, One Brain briefings and searches, and imports from X) cost us money each time they are used. This Section explains what your membership includes each month and how you can get more.

(a) Your choice after your paid plan starts. After your paid plan starts, you choose one of two options:

- Option A: Allowance Only. You get the monthly allowance in (b) and nothing beyond it. When you reach a limit, that feature pauses until your allowance resets. You are never billed anything beyond your membership fee.
- Option B: Pay-as-you-go. You get the same allowance. After you use it up, you can keep using paused features by spending credits from packs you choose to buy. We never charge your card automatically for credits.

If you do not choose, your account uses Option A. During the free trial, every account uses Option A and cannot buy credit packs. You may switch between the options at any time in Settings. Switching never charges your card.

(b) Monthly allowance. Each paid membership (Founder Monthly, Founder Yearly, and Charter Founder) receives the following at no extra charge:

- Video library (uploaded video kept on UTelX at any one time, not per month): 120 minutes
- Video watched (minutes delivered): 600 minutes per month
- Grok Bot chats (standard model): 100 per month. A “deep answer” chat (opt-in) counts as 2 chats.
- One Brain briefings or searches: 10 per month
- X post imports: 30 per month
- Notice and alert emails: about 20 per month (sign-in emails are always free and never count)

Posting, likes, follows, messages, and Share Post are included, subject to fair use (Section 8). The free trial has its own, smaller amounts (Section 4.2(c)).

The monthly allowances reset on the 1st of each calendar month, America/Phoenix time. Your first partial month after you join (or after your trial ends) receives the full monthly allowance. Unused allowance does not carry over. The 120-minute video library does not reset. It is the amount you may keep at any one time while your membership is active.

(c) What a credit is. Credits are units you use to keep using features after your allowance runs out. Each action uses a set number of credits, shown in Schedule A and on the in-app rate card. Credits are not money, have no cash value, and cannot be exchanged for cash, sold, transferred, or gifted. They can be used only on the account that bought them.

(d) Credit packs. Pay-as-you-go members may buy credit packs only on https://www.utelx.online. Packs are paid through Stripe and are not sold during the free trial. Current packs: $5 for 2,050 credits; $10 for 4,400 credits; $25 for 11,450 credits. Credits you already hold, including credits from packs bought at earlier sizes, stay in your balance. The checkout screen shows the current packs and prices and controls if it differs from this list. Each purchase is a separate one-time payment that you start by tapping “Buy pack.” We add the credits after your payment succeeds. We do not offer auto-recharge and do not charge a saved card to top up your balance.

(e) Order of use; rollover. Your allowance is always used first. Credits are used only after the allowance for that feature is used up for the month. Unused credits roll over month to month and do not expire while your membership is active. What happens to unused credits after you cancel, lapse, or rejoin is in Section 6.

(f) Usage meter and alerts. Your account shows a usage meter with your remaining allowance and credits (for example, “12 of 100 chats left”). The meter is live. We alert you in the app and by email when you reach 80% and 100% of your allowance, and of your credit balance if you have one. These are service messages (see Section 3).

(g) When you reach a limit. When a feature’s allowance is used up and you have no credits (or you are on Option A), that feature pauses. You will see a message and, on Option B, a “Buy pack” button. We never bill you because you reached a limit. Other features and anything you have already posted keep working unless this Section says otherwise.

(h) How usage is measured. We measure usage using our systems and our vendors’ systems. Video minutes watched are counted by our video provider and may include preloading and buffering. Credits per action are rounded up to a whole credit. The “deep answer” AI option is opt-in. It counts as 2 chats against your allowance and uses more credits than a standard chat, as shown in Schedule A. Standard chat is the default. Your usage meter is our record of usage. If you believe a usage count or credit deduction is wrong, email [email protected] within 30 days and we will review it in good faith.

(i) Stored video beyond the free library. You may keep more than 120 minutes of video only by using credits. Each extra minute stored uses 5 credits per month, taken from your credit balance on the 1st of each month, America/Phoenix time. If your credits run low:

1. We warn you at 80% and again when your balance reaches zero.
2. New uploads pause until you add credits or reduce your library to within the free amount.
3. If you have not added credits or reduced your library within 60 days after your balance reaches zero, we may archive your oldest extra videos (never videos within your free 120-minute library) until your library fits what your allowance and credits cover. Archiving hides a video from playback; it does not delete it. We will email you at least 14 days before archiving and give you a chance to download your videos first, and we will not delete archived videos for at least 30 days after archiving.

Your free 120-minute library is not affected by this process while your membership is active.

(j) Who can watch. Playback of uploaded video on the Service is for the public and signed-in members.

(k) Fair use. The allowance and credits do not replace Section 8. We may limit, throttle, or suspend abusive or automated use even if you have allowance or credits left.

(l) Changes. We may change the allowance, the features covered, credits per action (Schedule A), and pack prices or sizes. We will post changes in the app before they apply and give 30 days’ notice by email of any change that reduces your allowance or increases the credits an action uses. Changes do not reduce credits already in your balance. Changed pack prices affect only packs bought after the change. The in-app rate card and checkout control day-to-day numbers if they differ from Schedule A.

(m) Your membership rate is not affected. Credits are optional. Offering credits or changing credit prices or pack sizes does not raise your membership price.

5. ALL SALES FINAL; NO REFUNDS

All sales are final. Except as stated in this Section, we do not give refunds or credits. This applies to Founder Monthly, Founder Yearly, and Charter Founder fees, any later membership fees, renewals, upgrades, add-ons, taxes collected at checkout, credit packs, and any unused or remaining credits, whether or not you cancel, let your membership lapse, switch options, or your account is closed. It also applies if you are dissatisfied with features, design, performance, AI responses, moderation, or downtime; if you change your mind or do not use the Service; and for credits used on actions measured under Section 4.6(h).

Free trial. If you cancel before your free trial ends, you are not charged (Section 4.2). Once a paid period starts, it is not refunded. If you cancel Founder Monthly, you keep access until the end of the month you have already paid for, with no partial refund. If you cancel Founder Yearly or a Charter Founder membership, you keep access until the end of the year you have already paid for, with no refund for unused months.

Exceptions. (a) If we charge you twice for the same purchase by mistake, we will correct the double charge. (b) If we permanently discontinue the entire Service while you have prepaid, unused membership time, we will refund the unused portion. (c) Where the law gives you a refund right that cannot be waived, we will honor it, and nothing in this Section limits it. If you believe you have a mandatory statutory right, please email [email protected] before contacting your bank or card issuer.

Your acknowledgment. By completing checkout you acknowledge that this is a digital membership, that access begins immediately (with the free trial, if you are eligible), and that you have read this Section 5. You waive any right to a refund to the maximum extent the law permits. If you start a chargeback, we may close your account and recover the amount and related fees you owe.

We may, in our sole discretion, issue a goodwill credit or goodwill usage credits. That does not change this Section.

6. CANCELLATION AND TERMINATION

Cancelling. You may cancel your trial or membership at any time online, as described in Section 4.5(e), or by emailing [email protected]. Cancellation stops future renewals. You keep access until the end of the period you have already paid for, unless we terminate your account under this Section. Cancelling or letting your membership lapse ends your Founders Special or Charter Founder rate (see Sections 4.3 and 4.4). Cancellation does not entitle you to a refund (see Section 5).

Credits after cancellation. Your monthly allowance and any unused credits remain available through the end of your paid period. If you rejoin within six (6) months after your paid period ends, your unused credits return to your balance. If you do not, unused credits expire. If we close your account for violating these Terms, unused credits expire immediately. Section 5 applies in each case.

Closing your account. You may also end this agreement by closing your account, where that control is available, and stopping use of the Service. Closing your account does not entitle you to a refund.

Our right to suspend or terminate. We may suspend, limit, or terminate your access or close your account, with or without notice, if we reasonably believe it is necessary to enforce these Terms; protect UTelX, members, or the public; comply with the law or a government authority; stop fraud, security threats, or technical abuse; or reclaim a username after 6 months of inactivity. If we terminate your account for any reason other than your violation of these Terms, we will refund the unused portion of any prepaid membership period. We may also remove or limit Content as described in Sections 7 and 9.

After termination. After this agreement ends, you must stop using the Service. For 30 days after termination (other than termination for serious violations), you may export your Content where our export tools allow. Provisions that by their nature should continue will survive, including Sections 5, 9 (as to licenses needed for Content already posted or cached), 10, 13, 14, 15, 16, and this sentence.

Your responsibility. You are responsible for your use of the Service and for Content you provide, including compliance with these Terms and all applicable laws. Only post Content you are comfortable sharing with the audience your settings allow. Do not suggest that UTelX, YouTube, TikTok, Telegram, X Corp., xAI, or any other company endorses you unless they actually do.

Enforcement. We may remove Content, limit features, or suspend or close accounts if you violate this Section, and no refund will be due except as stated in Section 5. You may appeal a removal or suspension by emailing [email protected]. We will review appeals in good faith, but our decision is final.

Reporting. To report Content that violates this Section, including non-consensual intimate images, email [email protected]. For non-consensual intimate images, we will review reports promptly and remove confirmed violations within 48 hours of a valid request. For copyright claims, see Section 20.

Security reports. If you find a security vulnerability, email [email protected] and give us a reasonable time to fix it before disclosing it. If you act in good faith, report promptly, and do not access or damage other members’ data or interrupt the Service, we will not pursue legal action against you for the research.

Repeated violations may cause harm that money cannot fully repair, and we may seek an injunction or other court order in addition to other remedies.

8. FAIR USE (VIDEO, MESSAGING, AI)

Your membership includes the monthly allowance in Section 4.6. Use beyond the allowance is available only through optional credits you choose to buy. Nothing on the Service gives you limitless bandwidth, storage, or AI use. If any page, ad, or older material says otherwise, Section 4.6 controls. We may apply technical limits to protect the Service, including caps on uploads, live streaming, file size, group size, API and AI calls, and automated use. Abuse, resale of AI output, or load that harms other members may be throttled or suspended, and no refund will be due except as stated in Section 5.

Grok Bot and One Brain. Grok Bot and One Brain are optional tools. Prompts and files you submit are sent to our AI provider, xAI, so a response can be generated, as described in Section 1 and the Privacy Policy. Do not put secrets, card numbers, health data, or other people’s private data into Grok Bot. Responses can be incomplete, biased, inaccurate, or made up. No statement from Grok Bot, from us, or through the Service is professional advice or creates a warranty beyond these Terms. Do not rely on AI output as legal, medical, financial, or safety advice, or as a substitute for a licensed professional. You are responsible for how you use AI output. If you include Messages in One Brain, only the messages you wrote are used (see Section 1).

Output ownership. As between you and UTelX, and to the extent permitted by law and our AI provider’s terms, you own the output generated from your prompts. We may use output as needed to operate the Service.

Prohibited AI uses. Do not use AI features to generate malware, spam, scams, impersonation, sexual content involving minors, or anything else these Terms forbid. Do not try to jailbreak the model, extract hidden system instructions, or force it to ignore these Terms. You also agree to follow the usage policies of our AI provider, which we may pass on to you.

9. YOUR CONTENT

Ownership. You keep ownership of the Content you post. You are solely responsible for your Content, and you confirm that you have all the rights and permissions needed to post it and that it does not violate the law or these Terms.

License to operate the Service. You give UTelX a worldwide, non-exclusive, royalty-free license (with the right to sublicense to vendors who help us run the Service) to host, store, reproduce, process, adapt, format, transmit, display, and distribute your Content as needed to operate, secure, moderate, back up, and improve the Service. This includes converting Content to work on different devices and applying our ranking and recommendation features.

Public Content. For Content you post publicly, such as Public Square posts, Forum posts, and public profiles, the license also includes the right to display and promote it on and off the Service, for example by featuring it in the app or in our marketing, with your name or handle shown as the author.

Private Content. For Messages and other Content you share only with specific people, the license is limited to operating, securing, moderating, and delivering the Service, and to legal compliance. We do not use private Content for promotion.

AI. We do not use your Content, your Grok Bot prompts, or Grok Bot's responses to train AI models. Our AI provider, xAI (SpaceXAI LLC), receives your prompts and the related One Brain content only to generate a response. Under xAI's business terms that apply to our account, xAI does not use them to train its models. xAI may keep them for up to 30 days, or longer where needed for safety, abuse prevention, or legal reasons, as described in our Privacy Policy. When you use Grok Bot, your prompt and any files you add are sent to our AI provider to generate a response, as described in the Privacy Policy.

Duration. The license lasts while your Content remains on the Service. If you delete Content or close your account, we will stop displaying it and will delete or de-identify it within a reasonable time, except where we must keep it for legal reasons, security, or backups that are overwritten on a routine schedule. Deletion does not affect copies that other members shared, quoted, or saved before you deleted it, or copies outside our reasonable control.

No payment. You will not be paid for this license. Access to the Service is the consideration.

Other members’ Content. We do not endorse or guarantee the accuracy, completeness, or reliability of Content posted by you or others, or any facts or opinions in it. You may see Content that is offensive, harmful, inaccurate, mislabeled, or deceptive, and you use or rely on any Content at your own risk. We do not review every item and are not responsible for Content that others post.

Moderation. We may remove, refuse, limit the reach of, or disable access to Content that appears to violate these Terms or the law, creates legal or safety risk, or responds to a lawful request. To report Content, see Section 7. For copyright, see Section 20.

10. OUR CONTENT AND BRANDS

The UTelX and U Tel X names, the names “Grok Bot” and “One Brain,” our logos, site design, software, and documentation are ours or our licensors’. You may not copy them except as needed to use the Service.

Subject to these Terms, we give you a personal, worldwide, royalty-free, non-assignable, non-exclusive license to use the software we provide as part of the Service, only so you can use the Service in the ways these Terms allow. You may not assign, gift, sell, share, or transfer that license without our written consent. All other rights, title, and interest in the Service (except Content you own) stay with us and our licensors. Nothing here gives you a right to use the UTelX or U Tel X names, logos, domain names, or other brand features, except as needed to identify a truthful link to the Service.

Feedback, comments, or suggestions you send about UTelX or the Service are voluntary. We may use them without restriction or payment and without any obligation to you.

11. THIRD-PARTY SERVICES

Providers. Checkout, email, hosting, video delivery, payments, and AI are provided in part by third parties, including Kajabi, Stripe, and xAI. Their outages and rule changes are outside our full control. Their terms and privacy notices also apply to you when you use those parts of the Service.

Imports. You may connect your YouTube, X, or TikTok account to import content. You may import only from accounts you own or have the right to share from. Imports use each platform’s official sign-in and developer tools. Imported videos and posts play or display through the other platform. UTelX does not download or re-host the video files and does not post, comment, or message on YouTube, X, or TikTok for you. TikTok videos play in TikTok’s embed player. You can disconnect TikTok, YouTube, or X on the Import page and delete saved copies from Watch or the Feed.

YouTube. If you connect YouTube, you are also agreeing to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms), and Google’s Privacy Policy (http://www.google.com/policies/privacy) applies to the data Google handles. You can revoke UTelX’s access to your YouTube data at any time through the Google security settings page (https://security.google.com/settings/security/permissions) as well as on our Import page.

X and TikTok. If you connect X or TikTok, their terms and privacy notices also apply to their sign-in and players.

Other third-party material. The Service may show Content, links, ads, widgets, or tools from other members or third parties. We do not control or endorse them. If you follow a link or use a third-party service, its terms and privacy notices apply and you do so at your own risk. Mention of another product or site is not an affiliation, sponsorship, or endorsement.

Our liability. We are not liable for failures of third parties, except to the extent the law does not allow us to exclude that liability.

12. AVAILABILITY AND CHANGES

Changes to the Service. The Service is in beta, and we may change, pause, or discontinue features and may set or change limits on use and storage. We do not guarantee uninterrupted availability.

Changes to these Terms. We may update these Terms. For changes that are material, we will email you at the address on your account at least 30 days before they take effect, and also post notice on the Sites and in the app. Other changes take effect when posted. The version with the newest “Last updated” date on the Sites is the current version. Changes are not retroactive. If you do not agree to a change, you may cancel before it takes effect, and cancellation stops future renewals (see Section 6). If you continue to use the Service after a change takes effect, you accept the updated Terms. Price changes for new members do not change a rate that is kept under Section 4.3 or 4.4.

Data and backups. We do not promise to store every video, message, post, or file forever or that a backup will exist. Keep your own copies of Content you care about. We may delete inactive accounts, unused uploads, or Content that exceeds limits, following the notice process in Section 4.6(i) for video stored beyond your free library.

Disclosure. We may access, preserve, and disclose information when we reasonably believe it is needed to satisfy the law, legal process, or a government request; enforce these Terms; detect or address fraud, security, or technical issues; respond to support requests; or protect the rights, property, or safety of UTelX, members, or the public. How we handle personal data is described in the Privacy Policy (https://www.utelx.online/privacy).

13. DISCLAIMERS

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” AND IS IN BETA. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

To the maximum extent permitted by law, we also disclaim responsibility for the completeness, accuracy, availability, timeliness, security, or reliability of the Service or any Content; harm to your device or loss of data; deletion of, or failure to store or transmit, Content or communications; and whether the Service will meet your needs or run without interruption, security issues, or errors. We do not warrant that the Service will match YouTube, TikTok, Telegram, or X, or that U Tel X will be available in every country or at all times. Your use of the Service and Content is at your own risk. Some places do not allow certain disclaimers, so some of these may not apply to you.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTELX, ITS OWNER, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE MEMBERSHIP FEES AND CREDIT PACK PURCHASES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, AND (B) $100.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE ALSO NOT LIABLE FOR THE CONDUCT OR CONTENT OF OTHER MEMBERS OR THIRD PARTIES, FOR CONTENT YOU OBTAIN FROM THE SERVICE, OR FOR UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. These limits apply to any theory of liability (contract, warranty, statute, negligence or other tort, or otherwise), even if we were told damage was possible.

These limits do not apply to liability that the law does not allow us to limit, including for fraud, gross negligence, or willful misconduct. Some places do not allow these limits. In those places, our liability is limited to the minimum the law requires.

15. INDEMNITY

You will defend and hold UTelX harmless from third-party claims, and resulting losses and reasonable legal fees, arising from Content you post, your violation of these Terms or the law, or your infringement of another person’s rights. This includes claims about impersonation or about your misuse of Grok Bot output. We may choose our own counsel, and you will cooperate reasonably. This Section does not apply to the extent a claim is caused by UTelX’s own negligence or misconduct.

16. GOVERNING LAW AND DISPUTES

Governing law. These Terms are governed by the laws of the State of Arizona and applicable U.S. federal law, without regard to conflict-of-law rules, except where consumer law in your country or state cannot be waived.

Informal resolution first. Before starting any formal proceeding, you and UTelX agree to try to resolve the dispute informally. Email [email protected] with a short description of the dispute and what you want. We will try to resolve it within 30 days.

Binding arbitration. If the dispute is not resolved informally, you and UTelX agree that it will be resolved by binding individual arbitration rather than in court, except as stated below. This includes disputes about these Terms, the Service, and other members’ or third parties’ use of the Service or their Content, and applies to claims that arose before you accepted these Terms. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect when the claim is filed, which are available at adr.org. The Federal Arbitration Act governs this Section. Hearings, if any, will be held by video or phone, or in the county where you live, at your choice. Under the AAA’s consumer rules, we pay the fees except for the filing fee that applies to consumers, and the arbitrator may award any relief a court could, including attorney’s fees where the law allows them.

Exceptions. Either of us may bring an individual claim in small-claims court if it qualifies. Either of us may go to court to stop infringement or misuse of intellectual property, or abuse of the Service that threatens irreparable harm.

No class actions. You and UTelX may bring claims only in your or its individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not combine claims or preside over any class or representative proceeding. If this class waiver is found unenforceable as to a claim, that claim must go to court, and the rest of this Section continues to apply.

Mass filings. If 25 or more similar claims are filed against either party by the same or coordinated counsel, the AAA will administer them in batches of up to 10 claims at a time, and later batches will not start until earlier ones are resolved.

30-day opt-out. You may opt out of arbitration and the class waiver by emailing [email protected] within 30 days after you first accept these Terms, with your name, the email address on your account, and a statement that you opt out. If you opt out, disputes will be resolved exclusively in the state courts located in Yavapai County, Arizona, or the U.S. District Court for the District of Arizona, and you consent to personal jurisdiction there.

Time limit. Each of us must start any claim within one (1) year after it arises, except where the law does not allow a shorter period.

Changes. If we change this Section, the change applies only to claims that arise after the change, unless you agree otherwise.

18. PRIVACY

Our Privacy Policy (https://www.utelx.online/privacy) explains what we collect, how we use it, and the choices you have. By using the Service, you acknowledge that you have read it. The Service is operated from the United States. If you use it from another country, your information may be processed in the United States and in other places where our vendors are located, as described in the Privacy Policy.

19. EXPORT CONTROLS AND SANCTIONS

The Service is a United States offering. You may not use it if you are located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions; if you are on a U.S. or other applicable denied-party or restricted-party list; or if applicable law otherwise bars you from receiving the Service. You may not use the Service to export or re-export software, technical data, or AI output in violation of U.S. export or sanctions rules.

20. COPYRIGHT AND OTHER IP COMPLAINTS

Designated agent. Notices of claimed copyright infringement should be sent to our designated agent: Copyright Agent, UTelX, Attn: Allen Bracken Cherry, 1701 E Arroyo Seco, Cottonwood, Arizona 86326, USA, [email protected], (928) 451-5770.

Notice of infringement. If you believe Content on the Service infringes your copyright, send the agent a written notice that includes: (1) your physical or electronic signature; (2) identification of the copyrighted work you claim is infringed; (3) identification of the Content you claim is infringing, with its URL or other location on the Service so we can find it; (4) your name, mailing address, phone number, and email; (5) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act for the owner. Knowingly making a false claim of infringement may make you liable for damages. For trademark and other IP complaints, send a similar notice to [email protected].

What we do. On receiving a valid notice, we may remove or disable access to the Content and notify the member who posted it.

Counter-notice. If your Content was removed and you believe that was a mistake, you may send the agent a counter-notice that includes: (1) your physical or electronic signature; (2) identification of the Content that was removed and where it appeared before removal; (3) a statement, under penalty of perjury, that you have a good-faith belief it was removed by mistake or misidentification; and (4) your name, address, and phone number, and a statement that you consent to the jurisdiction of the federal court for the district where you live (or, if outside the United States, any judicial district in which UTelX may be found) and that you will accept service of process from the person who sent the original notice. If we receive a valid counter-notice, we will send a copy to the complaining party, and we may restore the Content in 10 to 14 business days unless that party tells us it has filed a court action against you.

Repeat infringers. In appropriate circumstances, we will terminate the accounts of members who are repeat infringers. No refund will be due for such a termination.

This process is how you notify UTelX of a claim. It does not make UTelX a party to a dispute between members, and it does not change Section 5.

21. ENTIRE AGREEMENT AND GENERAL TERMS

These Terms, the checkout page, and any posted Privacy Policy are the entire agreement between you and UTelX about the Service. If one clause is unenforceable, the rest remains in force. Our failure to enforce a clause is not a waiver, and a waiver of one breach is not a waiver of later breaches. By starting a trial or paying, you confirm that you have read Section 4 (pricing, the free trial and automatic renewal in Sections 4.2 and 4.5, and Section 4.6 on the monthly allowance and credits) and Section 5 (all sales final) and still want to buy.

Assignment. We may assign or transfer these Terms, and any rights or obligations under them, to an affiliate, to a successor entity, or in connection with a reorganization, merger, or sale of the Service, without your consent. We will post notice of the change on the Service. You may not assign these Terms without our written consent. Rates kept under Sections 4.3 and 4.4 continue to apply to the assignee.

Electronic communications. You agree that we may provide notices and other communications to you electronically, by posting them on the Service or emailing the address on your account, and that electronic notices satisfy any legal requirement that they be in writing. Notices to us go to [email protected].

Events beyond our control. We are not liable for any delay or failure caused by events beyond our reasonable control, including outages of internet, hosting, or third-party services, labor disputes, natural disasters, or government action.

These Terms are written in English. If we later post a translation and there is a conflict, the English version controls. Headings are for reading only. These Terms do not create a partnership, joint venture, employment, or agency relationship.
