What UTelX is UTelX is a membership Service intended to combine video (“Watch”), messaging (“Messages”), and a public feed (“Public Square”), with optional AI assistance described as Super Grok or similar.UTelX is not affiliated with, endorsed by, or part of YouTube, Telegram, X Corp., xAI, Google, or their owners. Names of those products are used only to describe the kind of features we aim to offer.The Service is sold in waves. Some features may be preview, limited, or not yet live when you pay. Buying a membership is a purchase of access to the Service as it exists and as it is rolled out, not a guarantee that every described feature is available on day one.
2. Eligibility You must be at least 18 years old (or the age of majority where you live) and able to form a contract. You are responsible for the accuracy of the information you give us and for all activity on your account.One person, one founding account unless we say otherwise in writing.
3. Accounts You must keep your login details secret. Notify us if you think the account is compromised. We may suspend or close accounts that are shared, resold, abusive, unpaid, or that violate these Terms.We may require verification (email, payment, or identity checks) to reduce fraud.
4. Memberships and prices 4.1 Founding Membership The Founding Membership is limited to the first 100,000 paid accounts, or fewer if we close the offer earlier.

- Price: USD $11 per year while the founding offer is active for that account
- Use: unlimited access to member features then available, subject to fair use (Section 8)
- Price lock: if you stay an active founding member in good standing, we will not raise your annual rate to the post-launch public price solely because that public price becomes USD $99 per year
The lock is a price lock only. It is not:
- a one-time lifetime payment
- a lifetime free plan
- equity, stock, tokens, or ownership in UTelX
- a promise that every advertised feature ships on a fixed date
4.2 After launch / public price New members after the founding cap (or after we retire the founding offer) pay the then-current public price, including USD $99 per year if that is the published rate.4.3 If you cancel and returnIf you cancel, let the membership lapse, or we close the account for cause, the founding rate may end. Rejoining after founder seats are gone is at the then-current public price.4.4 BillingPayments are processed by Kajabi and its payment providers (for example card networks or Stripe). Their terms also apply. Prices are in USD unless the checkout shows another currency. Taxes may be added where required.Memberships renew automatically each year until you cancel.

- Public membership fees ($99 / year or any later rate)
- Renewals, upgrades, add-ons, and taxes collected at checkout
- Payments made by mistake if the account received or could have received access
- Dissatisfaction with features, design, launch timing, AI answers, moderation, or downtime
- Change of mind, unused time, or unused features
- Duplicate purchases, except that we may, at our sole option, apply a credit or cancel a true double charge
By completing checkout you acknowledge that:
- This is a digital membership / pre-sale access product.
- Access or the right to access may begin immediately.
- You waive any right to a refund to the maximum extent permitted by law.
If a card network, bank, or UTelX forces a chargeback, we may close the account and recover fees, and you remain responsible for any unpaid amounts.Where the law requires a refund (for example certain consumer cooling-off rules), we will comply with that law only to the extent it cannot be waived. If you have a mandatory statutory right, email us before you charge back.We may, in our sole discretion, issue a goodwill credit. That is not a change to this No Refunds policy.
6. Cancellation You may cancel auto-renewal at any time in your Kajabi / UTelX account settings or by emailing the support address on the Site.Cancellation stops future renewals. It does not create a refund for the current paid term. You keep access until the end of the period already paid, unless we terminate the account for violation of these Terms.

- Break the law, incite crime, or post illegal content
- Harass, stalk, threaten, or exploit others
- Upload malware, scrape the Service in an abusive way, or attack our systems
- Impersonate people or brands, or misrepresent affiliation with YouTube, Telegram, X, xAI, or UTelX
- Resell, rent, or sublicense your membership
- Spam, manipulate metrics, or run unauthorized bots
- Infringe copyright, trademarks, or other rights
- Use the Service to collect personal data from others without a lawful basis
- Attempt to extract model weights, bypass paywalls, or abuse AI usage
We may remove content, limit features, or close accounts without a refund if you violate this section.
8. Fair use (video, messaging, AI)“Unlimited” means we do not charge a per-minute or per-message list price to members in good standing. It does not mean infinite bandwidth, storage, or AI tokens.We may apply technical limits to protect the Service, including caps on uploads, live streaming, file size, group size, API/AI calls, and automated use. Abuse, resale of AI output, or load that harms other members may be throttled or suspended without a refund.AI answers can be wrong. Do not rely on them as legal, medical, financial, or safety advice.
9. Your content You keep ownership of content you post. You grant UTelX a worldwide, non-exclusive license to host, display, moderate, and distribute that content as needed to run the Service.You represent that you have the rights to post it. We may remove content that appears to violate law or these Terms.Public Square posts may be visible to other members or the public, depending on settings then in force.
10. Our content and brands The UTelX name, logos, site design, software, and documentation are ours or our licensors’. You may not copy them except as needed to use the Service.
11. Third-party services Checkout, email, hosting, video, payments, and AI may be provided by third parties (including Kajabi and xAI). Their outages or rule changes are outside our full control. We are not liable for third-party failures beyond refunds we are legally required to give — and Section 5 still applies.
12. Availability and changes We may change, pause, or discontinue features. We may update these Terms by posting a new version on the Site. Continued use after the update is acceptance. Material price changes for new customers do not by themselves void an active founding price lock described in Section 4.1.We do not guarantee uninterrupted uptime.
13. Disclaimers THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.We do not warrant that the Service will match YouTube, Telegram, or X, or that Super Grok / AI features will be available in every country or at all times.
14. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTELX AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE MEMBERSHIP FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM — AND IN NO EVENT A REFUND BEYOND WHAT SECTION 5 AND APPLICABLE LAW ALLOW.Some places do not allow these limits. In those places, our liability is limited to the minimum the law requires.
15. Indemnity You will defend and hold UTelX harmless from claims arising out of your content, your use of the Service, or your violation of these Terms or the law.
16.
